In the wake of the scandal at American University, executive compensation at colleges and universities has fallen under close scrutiny from Congress, the IRS, the SEC, and the public at large. In order to attract and retain qualified candidates in higher education’s administrative posts without coming under fire, schools must examine their executive compensation and conflict of interest policies for excesses – before someone else does.

When schools tolerate a culture of entitlement, issues such as conflicts, compensation and expenditures are likely to spiral out of control, much like they did during the Ladner era at American University. Keeping this culture of entitlement at bay will require an attitude shift among boards and administrators who have forgotten the non-profit status of the institutions they serve and the high expectations the public holds them to. Federal and state efforts to legislate ethics, conflicts and compensation and bring the burdens of Sarbanes-Oxley to higher education are well under way.

Presenters' Bios:

Robert B. Smith
, Esq., leads the College & University Practice Group at Nelson Kinder Mosseau and Saturley in Boston, MA and Manchester, NH. Smith has decades of legal experience, including 14 years as Associate General Counsel at Boston University, the nation’s fourth largest private university.

Dana L. Fleming, Esq., is a member of the College & University Practice Group at Nelson Kinder Mosseau and Saturley. She is a graduate of Boston College Law School with a dual degree in Education Administration. Prior to attending law school, Fleming worked as an education researcher in Cambridge, Massachusetts.
